Terms & Conditions
These Terms & Conditions ("Terms") govern your use of the SorathERP desktop, web and mobile applications (together, the "Software"), published by Sorath Software Technologies ("we", "us", "our"). By installing, activating or using the Software, you agree to these Terms.
1. Licence grant
Subject to payment of the applicable licence fee, we grant you a non-exclusive, non-transferable licence to install and use the Software for your own business, limited to the number of users and companies included in your plan (Desktop or Complete, as described on our Pricing page). Using more users or companies than your plan allows requires an upgrade.
2. Fees, AMC and renewal
The licence fee is a one-time payment, exclusive of GST. Continued access to updates, patches and support requires payment of the Annual Maintenance Contract (AMC), also exclusive of GST, due each year from your activation date. If the AMC lapses, the Software will continue to run but you will not receive updates, GST-rule changes, or support until it is renewed.
3. Free trial
Trial installations are provided for evaluation only, for the period stated at signup, and may have reduced functionality or record limits. No payment card is required for the trial.
4. Your data
All business data you enter into the Software — ledgers, invoices, stock, payroll and everything else — belongs to you. We claim no ownership over it. On plans with cloud sync, you can request an export of your cloud-held data at any time. See our Privacy Policy for how we handle it.
5. Acceptable use
You agree not to reverse-engineer, resell, sublicense or redistribute the Software, attempt to bypass licence activation, or use it for any unlawful purpose.
6. GST and regulatory compliance
The Software is a tool to help you prepare GST returns, E-Invoices, E-Way Bills and other filings based on the data you enter. You remain solely responsible for the accuracy of that data and for your filings with GSTN and other authorities. We are not liable for penalties, interest or other consequences arising from incorrect data entered by you, or from changes in tax law that occur before we can update the Software.
7. Sync and availability
The desktop app works offline against your local database; sync to the cloud (on plans that include it) requires an internet connection and occurs automatically when one is available. We aim for high availability of the cloud service but do not guarantee uninterrupted access, and are not liable for delays caused by your internet connection or by planned maintenance, which we will try to notify you of in advance.
8. Intellectual property
The Software, its source code, design and branding are the property of Sorath Software Technologies. Nothing in these Terms transfers any of that intellectual property to you.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of your use of the Software is limited to the licence and AMC fees you paid us in the preceding 12 months. We are not liable for indirect, incidental or consequential damages, including loss of profits or data.
10. Termination
We may suspend or terminate your licence if you materially breach these Terms and do not remedy the breach within a reasonable period after notice. You may stop using the Software at any time; fees already paid are non-refundable except where required by law.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising out of these Terms will be subject to the exclusive jurisdiction of the courts of Surat, Gujarat.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be notified in the Software or by email before they take effect; continued use after that point constitutes acceptance.
